1.1 Prayaan Cabs engages the Vendor to provide chauffeur-driven car rental services.
1.2 Prayaan Cabs will assign bookings received from customers through website, app, call center, or partners. All communication will be through Vendor Interface, and usage is mandatory.
1.3 Upon assignment, the Vendor shall provide services as per date, time, and instructions mentioned in the booking.
2.1 The Vendor shall ensure drivers have valid licenses, vehicles are registered, insured, legally compliant, and in good working condition.
2.2 Any vehicle defects must be repaired immediately at Vendor’s cost.
2.3 Prayaan Cabs has the right to inspect vehicles, drivers, and documents anytime.
2.4 Vendor is fully responsible for any subcontractors used.
2.5 Vendor is liable for any violation of laws by itself or subcontractors.
2.6 Failure to meet driver and vehicle requirements may result in penalties.
2.7 Vehicles must not be used for illegal activities.
3.1 Vendor will be paid as per agreed rates, subject to revision by Prayaan Cabs.
3.2 Vendor must submit trip sheet within 2 days of trip completion. Payment will be made within 10 days, subject to receipt from customer.
3.3 Payments are subject to applicable taxes.
3.4 Payments will be made via bank transfer/cheque.
3.5 Discrepancies must be reported within 5 days.
3.6 Vendor must not collect money from customers.
3.7 Prayaan Cabs will not pay drivers directly.
3.8 Delay or service failure may result in payment deduction.
3.9 Prayaan Cabs can withhold payments for non-compliance.
Vendor will get login credentials to track bookings and payments via Prayaan Cabs system.
Vendor confirms capability to provide services, valid licenses and approvals, safe vehicles, legal compliance, and that drivers have no criminal background.
This Agreement shall commence on the Effective Date and remain valid until terminated as per agreed conditions. Prayaan Cabs may block a vendor temporarily or permanently for service deficiency or disagreement.
The Vendor shall indemnify and hold Prayaan Cabs harmless against claims, liabilities, losses, damages, and expenses arising from non-compliance or acts/omissions by the Vendor or subcontractors.
The Vendor shall not use Prayaan Cabs branding, logos, or confidential information without prior written consent.
The Vendor shall not directly or indirectly solicit customers of Prayaan Cabs during the agreement and for two years after termination.
The Vendor shall act as an independent contractor. This Agreement is governed by the laws of India and subject to jurisdiction of courts.
